END USER LICENCE AGREEMENT (NS)

This End User Licence Agreement (hereinafter referred to as “EULA”) is entered into between the user (hereinafter referred to as the “You” or “Your”) of the video game called “Rooftops & Alleys: The Parkour Game” (hereinafter referred to as the “Game”) and the company, SHINE RESEARCH, 1 Rue du Pré Brenot, 25870 Châtillon-Le-Duc, FRANCE (hereinafter referred to as the “We”, “Our”, “Us” or the “Company”).
The Game refers to the game software, all of its components (including in particular characters, scenario, universe, computer codes, images, animations, videos, music, text, etc.), any downloadable content for the Game (including but not limited to patch, DLC, expansion pack, battle pass, add-ons, add-on Game, any other game extension, etc.), as well as its documentation.
The EULA sets out the terms and conditions under which You are authorized to play and/or use the Game available on the platform on which you legally bought or accessed it (hereinafter referred to as the “Platform”). The Game can only be downloaded, streamed, played or used exclusively from an authorized source.
The Game is licensed on an individual basis subject to (i) Your’s acceptance of all the terms of the EULA and (ii) the Platform’s general terms of use, general terms of sale or any other contractual document governing the relationship between You and the Platform (the “Platform Legal Documentation”).
- Licence to Use
1.1 We grant You the right to download, install, execute, stream and/or display the Game on a computer hard drive, a console or a mobile (hereinafter the “Hardware”) for the sole purpose of enabling You to play the Game (hereinafter the “Licence”). This Licence is revocable, personal, non-exclusive and non-commercial.
1.2 The Licence on the Game can be transferred as follows :
- With respect to the digital version, You may make a one-time permanent transfer of all Your rights to install and use the Game to another end-user.
- With respect to the retail version, You may transfer of all Your rights to install and use the Game to another end-user, who will also have such rights.
In all event, a transfers of a digital or retail version is provided that (a) such a transfer is allowed by the Platform Legal Documentation, (b) the technical protections measures used by the Game support such transfer, (c) You also transfer this License and all copies of the Game (including your back-up copies to the extent you have made one), and (d) You retain no copies of the Game, upgrades, updates or prior versions. Such transfer may not include access to any online feature, service or functionality, or right thereto, unlocked or downloadable content that are limited to a user account and/or that are otherwise not transferable. We may require that any end-user of the Game register the Game online as a condition of use.
1.3 The License is limited to the Game. No licence is granted to You on any remastered version, any remake or reboot, any sequel (e.g. prequel, sequel, spin-off), any conversion or any other version of the Game.
1.4 We reserved all rights not expressly granted to You under the EULA.
- Restrictions
The Licence is strictly limited to the provisions set forth in Article 1. You are not authorized to make any other use of the Game. By way of example, You are not authorized to:
- Use the Game for commercial purposes or for promoting and/or marketing a product or service other than the Game in any way;
- Use the Game on more than one device simultaneously:
- Copy, reproduce, display, perform or use the Game in any manner not expressly authorized by this EULA;
- Make the Game available on a network where it could be downloaded by others;
- Sell, rent, lease, licence, distribute, market, etc. the Game;
- Reverse engineer the Game, derive the source code from it, modify it, adapt it, translate it, decompile it, disassemble it or create derivative works from it, in whole or in part;
- Delete, disable, circumvent or modify any copyright notice, trademark or security technology that the Game contains;
- Use the Game to infringe or violate the rights of third parties, including but not limited to intellectual property rights;
- Use, export or re-export the Game in violation of any applicable laws or regulations;
- Use the Game for illegal or immoral purposes.
- Intellectual Property Rights
3.1 Our Intellectual Property Rights
You acknowledge and accept that the Licence does not confer any title or ownership right to You over the Game and should not be construed as a sale or transfer of intellectual property rights.
We hold all rights, titles and interests (including intellectual property rights) to the Game. We are the owner of all the rights to registered or unregistered trademarks, logos, registered or unregistered designs, copyrights (including titles, names, characters, sets, objects, story elements, narratives, dialogues, catchphrases, texts, screen displays, illustrations, graphics, animations, music, sound effects, related documentation, etc.) rights relating to databases, inventions, patents, trade secrets, know-how and other confidential information that We have developed or created, that We own or for which We got a licence to use.
- Third Party’s Intellectual Property Rights
The Game may contain elements licensed to Us by third parties. Third parties owners may take all measures to assert their rights in the event of Your breach of this EULA.
Third-party software, middleware and tools (hereinafter the “Third-Party Software”) may have been used for the development of the Game and/or are likely to be integrated, as an inseparable element, into the Game. Third-Party Software may also be made available to enable You to create user-generated content.
All rights to the Third-Party Software are reserved and remain the full property of the relevant third parties.
The Licence does not assign or transfer You, in any way whatsoever, the ownership of such Third-Party Software or granting You any right or authorization over such Third-Party Software. Third-Party Software is not sold to You or provided with the Game and is only an inseparable component thereof.
Third-Party Software may be subject to specific additional conditions specific to them. This applies in particular to the Unreal® Engine developed by Epic Games, Inc. – Unreal® Engine terms and conditions can be consulted here (https://unrealengine.com/fr/eula-reference/unreal-fr) so as the conditions of the Epic Marketplace (https://www.epicgames.com/site/en-US/tos?lang=en-US).
By accepting this EULA, You accept the specific terms and conditions of all Third-Party Software. In the event of inconsistency or contradiction between the provisions relating to a Third-Party Software contained in the terms of this EULA and in the specific terms and conditions of said Third-Party Software, the specific provisions of the latter shall prevail over that of this EULA with regard to the aforementioned Third-Party Software.
We give no guarantee in relation to Third-Party Software and Our liability cannot be held in this respect.
- Modification of the Game
4.1 To ensure a good level of service, the Game can be improved, updated, modified or corrected (hereinafter the ‘Updates‘).
We reserve the right to modify the Game’s code at any time at Our sole discretion. Such modifications may have an impact on the functionality of the Game or its content (e.g. adding or removing features or content, fixing bugs or errors, modifications intended for balancing the game, etc.).
4.2 If You are subject to a national law other than that of a member state of the European Union, these Updates may be automatically downloaded to Your Hardware and may modify various aspects of the Game. You expressly consent to these downloads.
4.3 If You are subject to the national law of a Member State of the European Union, the terms and conditions for downloading and/or accessing these Updates shall be specified by the provider of the Platform on which You have purchased the Game (hereinafter referred to as the ‘Seller‘).
The Seller will provide you with information regarding the nature and characteristics of these Updates and their availabilities.
- Access to the service
Downloading the Game from a computer, a console or a mobile requires an internet connection.
Please note that playing the Game in multiplayer mode, if any, also requires an internet connection.
You agree that We may change, modify, suspend, delay, limit, nerf, discontinue or restrict any aspect of the Game, or Your access to the Game, including without limitation, any features or content of the Game, and any hours of availability, content, data, software or equipment needed to access the Game, at any time. We will notify you of such changes to the extent reasonably possible.
- User Generated Content
The Game may allow You, by means of tools or Third-Party Software made available to You by Us or Our licensors (the “Licensors“), to choose a username, create an avatar, talk to other users, and share contents (such as messages, sounds, voices, recordings, texts, images, drawings, photos, documents) as well as create and customize your own game elements (such as levels, maps, scenarios), and many more contents (hereinafter “UGC”s), which may be used and shared as part of the Game. UGCs may be a new creation of Your imagination (a “New UGC”) or made from pre-existing creations (a “Derivative UGC”), to which We and Our Licensors may have rights.
You are solely responsible for Your UGC that You create, use and share and must in any event comply with the applicable terms of this EULA.
You agree and undertake not to create, use and share a UGC unlawful or contrary to the EULA. This notably but not only includes the following:
- Anything illegal or likely to get you in trouble with the law.
- Using someone else’s work without permission, like their art or writing.
- Helping others pirate software or requesting pirated material.
- Creating harmful computer programs, worse, trojan horses or viruses.
- Making content that’s offensive, abusive, or discriminates against others.
- Harassing people or promoting harmful behavior.
- Using the Game for advertising or selling things without permission.
- Encouraging illegal activities or behavior.
- Involving minors inappropriately or trying to meet them for harmful purposes.
- Sharing sensitive or private information, like passwords or medical details.
- Going against any laws or rules in the country where you’re using the Game.
You acknowledge that should We become aware of UGC with an unlawful nature or of facts and circumstances revealing such nature, or more generally contrary to the provisions of this EULA, we reserve the right to remove the UGC and to automatically terminate this EULA under the conditions set forth in Article 11.2.
We are not responsible of any alteration of the quality of the Game, for any alteration or loss of one of Your UGCs during the creation/use/display of a UGC and You undertake to indemnify Us in the event of any recourse, action, claim or demand against Us, our employees, directors and administrators as a result of the creation/use/display of a UGC.
You agree not to use the UGCs outside the Game in which they were generated, no matter what You are trying to do or how You are trying to get them from the Game.
To the fullest extent permitted by applicable law, You hereby grant Us and Our Licensors a non-exclusive licence, free of charge, for the entire world, and where applicable for the duration of the rights, irrevocable, fully transferable and sub-licensable, in any way whatsoever, on Your UGC, whether New UGCs or Derivative UGCs, and Your contributions to them, as they are created and/or shared, including, but not limited to, the rights to use, copy, modify, reproduce in whole or in part, adapt, evolve, translate, carry on any medium, incorporate in the Game or other works, extract elements in whole or in part and/or add elements and remove, distribute, display, publish, communicate in any way whatsoever, distribute, sell and market the UGCs, without any restriction, on all media, formats and forms, currently known or subsequently designed, which may be licensed, transferred, rented, made available to the public, or performed publicly and globally, without any prior notice or compensation.
This operating licence is granted for the purposes of the marketing, promotion and distribution of the Game, creations of derivative works of the Game and the sharing of UGCs within the framework of the Game.
You may terminate this operating licence if We commit a material breach of this EULA, provided that We failed to remedy the breach within thirty (30) days following the receipt of a cease and desist letter.
To the fullest extent permitted by applicable law, You agree never to claim any moral rights over the use of the UGC. Specific conditions of Our Licensors may apply to Your UGCs and will be communicated to You if necessary.
Notwithstanding the foregoing, You acknowledge and agree that Derivative UGCs include content, goods and materials We or Our licensors own. Nothing in this EULA, or any other document applicable to this contractual relationship, grant You an assignment or transfer of rights (including any Intellectual Property Rights) to the original works used in Derivative UGCs. Those original works still belong to Us or Our Licensors. As a result, You can not use Derivative UGC without Our or Our licensors prior approval unless as otherwise specified herein.
To the extent that any UGC You create and/or publish reproduces Your image and/or voice, You hereby grant Us a right to use your image sufficient to allow us to continue providing the online game containing Your UGC, if applicable, worldwide and for the entire duration of the game’s commercialization. Accordingly, You agree that the UGC may be used under the conditions set forth above with respect to the license granted on the UGC to Us (except for the duration of the license).
If the UGC You create and/or publish includes the image and/or voice of any person other than yourself, You warrant that You have obtained the prior consent of the individual concerned for the use of their image by Us in the game and, more generally, under the conditions set forth in set forth above with respect to the license granted on the UGC to Us (except for the duration of the license). You further agree to fully indemnify us against any damages We may suffer in the event of any complaint, action, or claim by a third party based on the use of their image by Us.
When the Game allows the sharing of UGCs or interaction with other third-party websites and/or online services (“Third-Party Sites”), You agree to comply with the conditions of use of the Third-Party Sites in question. We are not responsible for their content. You undertake to relieve and hold Us harmless from all liability relating to Your violation of the conditions of use of the aforementioned site, as well as all damages, direct or indirect, which could result from it.
- Streaming platform and social media’s monetization policy
We welcome and allow monetization of videos on streaming platforms and social medias that feature recorded content from Our Game, as long as the video is meaningfully related to the Game in question — such as reviews, previews, Let’s Plays, or similar formats.
Use of Our Game’ music is permitted only when it is part of recorded in-Game content featured in videos directly related to our Game. Using the music separately or outside the context of gameplay footage is not allowed.
Please make sure to include a mention of the official website of the Game either in the video or in the video description.
- Limited Warranty
The following warranties give You specific legal rights, and You may have other rights which vary from jurisdiction to jurisdiction.
We warrant that: (i) We have the right to enter into this EULA and to grant You the License; (ii) We will take reasonable care with the Game; (iii) and that We will use reasonable endeavours to comply with applicable laws in performing Our obligations to You under this EULA.
We do not warrant that the Game or Your ability to use it, will be uninterrupted or error-free.
To the extent permitted by applicable law, We disclaim any implied warranty of merchantability or fitness for a particular purpose.
Further, we disclaim any representations, warranties, conditions, and liabilities related to the Unreal® Engine developed by Epic Games and used to develop the Game.
Your exclusive remedy under the above limited warranty shall be, at Our option, either a full refund of the purchase price or correction of the defective software or media. To the fullest extent permitted by applicable law, we disclaim all liability for indirect or consequential damages that arise under this EULA. Nothing in this EULA limits Our liability to You in the event of death or personal injury resulting from gross negligence, fraud, or knowing misrepresentation on Our part, or for any matter for which it would be illegal for Us to exclude or attempt to exclude Our liability.
Disclaimer of other Content. As a service to You, We may include with the Game third party drivers and other software utilities intended to assist you with installing and operating the Game (collectively “Drivers”). We specifically disclaim any warranties relating to the Drivers and to Third Party Software, and you agree that Your use of the Drivers and Third Party Software is at Your own risk. The Drivers are not part of the Game and shall not be governed by the terms of this EULA, except for this disclaimer.
- Indemnity
You are completely responsible for any harm You cause to Us, Our partners, service providers, or other people due to Your breach of this EULA.
- Term and Termination
11.1 The EULA remains in force as long as You use the Game. You may terminate the EULA at any time by removing or uninstalling the Game from the Hardware and destroying the copy of the Game in Your possession.
11.2 We may automatically terminate this EULA if You commit a breach of any of the terms of the EULA or of the Platform Legal Documentation governing the relationship between You and the Platform. In this case, You must immediately remove the Game from Your Hardware.
- Early versions of the Game
If you’ve acquired a ‘beta’ version, an early access or a demo of the Game (the “Early Version”), the following additional rules and conditions apply:
a) Early Versions are provided ‘as is’. You understand that they are a work in progress and We do not warrant or guarantee their functionality, nor will We bear any liability if the software isn’t working properly or causes issues;
b) Access and availability to Early Versions may be time-limited;
c) You may be asked to provide feedback to help us identify and understand issues that the Early Version encounters, and We will be free to use any feedback shared by You.
- User Game Information
The term “User Game Information” means any information relating to your play or use of the Game, including your gameplay statistics, preferred strategies and in-game choices, history of technical issues and support usage, as well as game settings and hardware specs of the device(s) You use to play the Game.
You acknowledge and agree that We may collect, store and share User Game Information collected from You, both as an individual and aggregated with the User Game Information of other users of the Game. User Game Information will be collected anonymously.
In addition, You acknowledge and agree that We may analyze and use such User Game Information for the purposes of review, research, development, maintenance, operation, administration, and support, and for the marketing of Our products and services.
- Chat
The Game may contain a emote or text chat or other types of online discussion spaces (“Chat”). When You use the Chats, You should be aware that your username and messages will be public and may be viewed by any user accessing the Chat (unless you are in a private Chat). You send Your messages at your own risk. Their submission, publication, and dissemination are solely Your responsibility.
It is prohibited to :
- impersonate a user of the Game or one of Our representatives ;
- insult, harass, or intimidate users and/or our representatives, including but not limited to :
- trolling (the act of posting intentionally controversial or off-topic messages with the intent to provoke others);
- flaming (the act of continuously insulting others);
- spamming (the act of repeatedly posting nonsensical or off-topic messages, or identical and similar messages) ;
- any statements or content deemed inappropriate, illegal, harmful, threatening, abusive, defamatory, obscene, sexually explicit, vulgar, defamatory, infringing on privacy, hateful, racist, sexist, homophobic, transphobic, unethical, or constituting harassment;
- endangerment of minors and any inappropriate actions towards a minors ;
- use any means not expressly authorized by us to collect or intercept data from other users, including but not limited to any activities such as phishing, doxing, and online sniffing.
We reserve the right to moderate any content in the Chat that does not comply with the aforementioned rules. Any moderation will be carried out diligently, objectively, and proportionally, ensuring that Your freedom of expression is not unduly restricted within the limits set forth above.
- Servers
The Game may offer You, on a fee-paying or free basis, the option to create Your own server, allowing user in particular to administer games (public or private), to invite or refuse other players (hereinafter “Dedicated Servers”).
You are solely responsible for the administration and/or use of a Dedicated Server, and shall guarantee and exempt Us against any damage of any kind whatsoever resulting from the administration and/or use of a Dedicated Server.
We shall in no way be held responsible in the event of a temporary or definitive incident relating to the Dedicated Server.
- Warning on the risks of epilepsy and precautions to be taken when using a Game
In accordance with French Decree No. 96-360 of 23 April 1996 relating to warnings concerning video games, You must take note of the following provisions before using the Game:
I. – Precautions to be taken in all cases when using a video game.
Avoid playing if you are tired or need sleep.
Make sure you play in a well-lit room moderating the brightness of your screen.
When you use a video game that may be connected to a screen, play at a safe distance from the TV screen and as far away as the connection cord allows.
During use, take breaks of ten to fifteen minutes every hour.
II.- Epilepsy warning.
Some people are susceptible to epileptic seizures, which may include loss of consciousness at the sight of certain types of strong light stimuli : rapid succession of images or repetition of simple geometric figures, lightning or explosions. These people may experience seizures while playing video games with such stimuli, even when they have no medical history or were never subject to seizures.
Consult a doctor before use if you or a member of your family has ever had symptoms related to epilepsy (seizures or loss of consciousness) when exposed to flashing lights.
Parents should also pay close attention when their children play video games. If you or your child experience any of the following symptoms: dizziness, blurred vision, eye or muscle twitching, disorientation, any involuntary movement or convulsions or loss of awareness stop playing immediately and consult a doctor.»
- Miscellaneous
- Export controls
You can not export, download or re-export the Game to any country subject to an embargo or economic sanctions in force.
- Severability of terms
If one or more provisions of this EULA are or become void, in whole or in part, pursuant to a law, regulation or following a final decision of a
competent court, the other provisions shall remain in full force and effect.
- EULA amendments
We can modify the EULA (i) to take into account the technical evolution of the Game or the medium on which it is used, (ii) for legal, regulatory, technical or security reasons or (iii) if the modifications made are not to Your disadvantage and respect the initial contractual balance.
Significant changes that alter the main obligations outlined in Article 1 of the EULA can not be unilaterally modified.
For such significant changes, You will be notified at least four (4) weeks in advance to the EULA by email to the address sent to the Seller when purchasing the Game provided it is technically feasible and the Seller agrees to it.
If You do not object within four (4) weeks of receipt of the notification, the changes shall be considered accepted with future effect.
If You disagree with the modifications, We shall reserve the right to terminate this EULA with two (2) weeks’ notice, provided that You have been informed of the consequences of refusing the modifications and Our right of termination. In this case, You will no longer be able to download and/or use the Game.
- Applicable law
To the extent permitted by law, this EULA is governed by the laws of England and Wales.
You explicitly agree that any claims or disputes with Us related to this EULA or Your use of the Game will be exclusively handled by English Courts, London.
If English law can not be applied in Your country, the local law will apply.
